Our Primary Value: Thoroughly Review Your Purchase and Sale Agreement with Legal Expertise

The Purchase and Sale Agreement is one of the most critical documents in any real estate transaction. While it may seem straightforward, this contract can contain complex terms and conditions that can significantly impact your rights and obligations.

That’s why it’s essential to have a licensed attorney review it to ensure you’re fully protected. Here are some key areas where we often provide legal guidance:

  • Are the closing dates and contingencies clearly outlined?
  • Do the deposit terms align with industry standards and your best interests?
  • Are there clauses that could expose you to unexpected liabilities?
  • Is there a clear description of the property, including any exclusions or special conditions?
  • Are there any repair or inspection requirements that need to be addressed?
  • Does the agreement contain provisions for potential disputes or contingencies, such as financing or appraisals?
  • Are there issues like encroachments or liens that should be addressed to avoid liability?
  • Do you need contingency language to secure your next home, before you’re required to sell this one?

While these may be typical elements in a Purchase and Sale Agreement, they are crucial to the success of your home sale. A small oversight or misinterpretation can lead to major issues down the line. By having a legal expert review the contract, you can avoid pitfalls and ensure that the terms work in your favor.

Convenient and Flexible Closings

Attorney Gasbarro offers a range of options to make your closing process as easy as possible, no matter your location.

  • Travel to Your Location: If our office isn’t convenient, Attorney Gasbarro will personally review your closing documents and notarize your signature at a location of your choice in Rhode Island or Massachusetts. We can coordinate a mobile notary service for clients outside these states to accommodate your needs.
  • Easy Closings for Out-of-State Sellers: If you’re located outside of Rhode Island or Massachusetts, we’ll arrange for a mobile notary to meet you locally to sign and notarize your documents. We’ll also ensure the original documents are shipped back to our office via overnight courier.
  • Split Closings for Convenience: Our custom post-COVID process allows buyers and sellers to sign separately, making choosing a time and place that suits your schedule more manageable. You can sign your documents before the buyer does, allowing us to coordinate with the buyer’s attorney to finalize the deal at your convenience. If you’re traveling, you can close your side of the deal before you leave.
  • Closing by Limited Power of Attorney: If you cannot attend in person, Attorney Gasbarro can handle your closing through a Limited Power of Attorney. This gives us the authority to sign documents on your behalf, ensuring your closing proceeds smoothly without the need for you to be there.

Available to Tackle Issues that Arise

While these are frequent concerns in real estate transactions, that doesn’t make them any less important. Each one requires careful attention from a licensed attorney to ensure everything is handled correctly. Here are some of the questions we often encounter:

  • What if you hold your property in a trust?
  • Can the proceeds be split at closing during a divorce?
  • What should be done if repair expenses need to be paid at closing?
  • How should a contingency for suitable housing be handled in the contract?
  • Should an encroachment by the neighbor be disclosed?
  • How do we establish the cost basis for tax purposes?
  • How does the NAR settlement affect closing costs?
  • What happens if a prior owner’s undischarged mortgage is discovered on title?
  • What notice is required to notify tenants?
  • How do we check the buyer attorney’s prorations and amounts in the settlement sheet?

These issues are common, but that doesn’t make them simple. Every transaction is unique, and these nuances need the expertise of a legal professional to ensure a smooth process. Give your case the attention it deserves with the guidance of an attorney specializing in real estate.

Collaborating with Your Trusted Professionals to Ensure a Smooth Sale

Selling a home involves several moving parts, and we’re here to support you and your team every step of the way.

Your Real Estate Agent: Your agent is essential in marketing your property and securing the best buyer. They’ll handle negotiations on price and terms while we provide unlimited support on contract details. Negotiation is common in real estate deals. Details such as inspections, delays, items included or excluded, commonly crop up and deals can get messy. Our advice can be critical in those unexpected moments. We provide terms that are clear, legally binding, and in your best interest.

Your Accountant: Real estate sales can have tax implications, and we’re here to work alongside your accountant to navigate them. Whether it’s understanding exclusions for a primary residence or addressing property depreciation, we ensure the legal side of your sale is handled properly. Your accountant will focus on tax filings, and together, we’ll make sure both the closing and tax requirements align to avoid surprises.

By working closely with your real estate agent and accountant, we ensure that all aspects of the sale are seamlessly managed, helping you achieve a smooth transaction.
